Terms of Service for DiagonalX Transit

1. Introduction

Welcome to DiagonalX Transit. These Terms of Service (“Terms”) govern your use of the transportation services, website, and booking applications provided by DiagonalX LLC, doing business as DiagonalX Transit (“Company”, “we”, “our”, or “us”). By booking a ride with us, you agree to these Terms.

2. Description of Services

DiagonalX Transit provides premium, pre-arranged, for-hire passenger transportation services, including group travel, corporate transport, and point-to-point transfers in the Owasso and greater Tulsa, Oklahoma area. We operate strictly on a direct-fare basis; we are not a courtesy shuttle or a rideshare hailing service. All rides must be scheduled in advance through our booking platform.

3. Booking and Payment

​Reservations: All transportation must be pre-booked via our website or booking application.

​Payment Processing: Fares are quoted upfront and processed securely via Stripe. Depending on the service selected, payment may be required in full at the time of booking or finalized upon arrival at the destination.

​Booking Fees: For reservations made more than 24 hours prior to the scheduled service, the associated booking fee is strictly non-refundable, regardless of whether the fee is processed at the time of booking or 24 hours prior to the service.

​Customer Cancellations: If a customer cancels a reservation within 24 hours of the scheduled service time (prior to any service being provided), DiagonalX Transit reserves the right to retain or charge a cancellation fee equal to 10% of the total booked fare.

​Service Interruptions (Failure to Complete Transport): In the rare event that DiagonalX Transit must cancel a ride or is unable to complete a transport in progress (e.g., due to a mechanical breakdown), the customer may choose one of the following two compensation options:

​A prorated refund for the incomplete portion of the scheduled trip.

​Reimbursement for an alternative rideshare service (e.g., Uber or Lyft) to the original destination, provided the customer submits a detailed receipt to our email for review.

​Finality of Compensation: The customer’s selection between the prorated refund or the rideshare reimbursement is final. Once compensation has been issued via one of these two methods, the customer may not request a change to the other method.

4. Passenger Capacity and Vehicles

​Capacity: Our primary vehicle is a Ford Transit 350. The absolute maximum capacity per reservation is 12 passengers. Drivers will not exceed this limit under any circumstances.

​Luggage: While we offer comfortable seating for up to 12 passengers, luggage space is limited. Please accurately disclose your expected luggage volume during booking to ensure we can safely accommodate your group.

5. Child Safety Seats

We offer complimentary, fully sanitized child safety seats, pre-installed prior to your pickup.

​Limits: Customers may request a maximum of three (3) child seats per reservation.

​Configurations: During booking, parents must accurately select the appropriate weight bracket for their child to ensure the correct hardware configuration:

​Infant (4 – 22 lbs): Rear-Facing Configuration

​Toddler (22 – 40 lbs): Rear-Facing or Forward-Facing Harness

​Young Child (40 – 65 lbs): Forward-Facing Harness or Belt-Positioning Booster

​Older Child (65 – 120 lbs): Belt-Positioning Booster

​Liability: While our drivers properly anchor the hardware to the vehicle, parents or guardians are solely responsible for securing the child into the seat harness or vehicle seatbelt before departure.

6. Passenger Conduct and Vehicle Damage

​Behavior: Passengers are expected to conduct themselves in a safe and respectful manner. The driver reserves the right to terminate the ride immediately without refund if a passenger’s behavior threatens the safety of the driver, other passengers, or the vehicle.

​Cleaning & Damage Fees: If a passenger or their group causes excessive mess or physical damage to the interior or exterior of the vehicle, the booking customer’s payment method on file will be charged a detailing/cleaning fee, or the actual cost of professional repairs, whichever is greater. ​Prohibited Items: Smoking, vaping, and the consumption of illegal substances are strictly prohibited inside the vehicle.

7. Lost or Damaged Property

Passengers are solely responsible for their personal property, baggage, and valuables. DiagonalX Transit assumes no liability for lost, stolen, damaged, or forgotten items left inside the vehicle during or after a transport. If an item is found by our drivers after a ride, we will make a reasonable effort to contact the booking party to arrange for its return at the customer’s expense.

8. Delays and Unforeseen Circumstances

DiagonalX Transit strives to arrive exactly on schedule. However, we are not liable for delays caused by circumstances beyond our control, including severe weather, heavy traffic, road closures, or mechanical failures.

9. Limitation of Liability

To the fullest extent permitted by applicable law, DiagonalX LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, missed flights, missed connections, or lost business opportunities, arising out of or related to our transportation services. In no event shall the total liability of DiagonalX LLC for any claims arising under these Terms exceed the total fare paid by the customer for the specific transportation service giving rise to the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless DiagonalX LLC, its owners, drivers, and affiliates from and against any and all claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your breach of these Terms or your negligent or unlawful conduct during the use of our services.

11. Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, shall be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court in Oklahoma if your claims qualify. You and DiagonalX LLC agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

12. Governing Law

These terms and any disputes arising out of your use of our services shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law provisions.
